1. Who we are

ClauseFlow is a trading name of JDBventures Ltd, a company registered in England and Wales ("ClauseFlow", "we", "us"). These terms govern your use of the ClauseFlow website and the AI legal pack review service. You are contracting with JDBventures Ltd trading as ClauseFlow.

2. Acceptance

By creating an account, uploading a document, or completing a purchase you agree to these terms. If you do not agree, do not use the service.

3. The service

ClauseFlow produces an AI-generated quick insight and overview of a property legal pack. It is intended as a first-look screening tool to help you decide whether to invest further time and money in a property. It is not a substitute for advice from a qualified conveyancing solicitor. Before exchanging contracts, bidding at auction, or making any binding commitment, you must instruct a qualified solicitor to review the full legal pack and confirm any findings.

4. AI limitations & responsible use

Reviews are generated by a large language model from the documents you upload. Output may miss issues, misinterpret clauses, or contain errors. You are responsible for the documents you upload, for verifying any output before relying on it, and for ensuring you have the right to share the documents. You must not use the service to generate unlawful content, infringe third-party rights, or attempt to jailbreak, probe, or reverse engineer the system. Output must not be treated as regulated professional advice (legal, financial, tax, or otherwise) without independent professional oversight.

5. Acceptable use & prohibited conduct

  • No unlawful use, fraud, spam, or harassment.
  • No uploading of content you do not have the right to share.
  • No infringement of intellectual property or privacy rights of others.
  • No malware, security probing, scraping, or interference with the service.
  • No resale, redistribution, or circumvention of technical limits or credit allowances (including creating multiple accounts to obtain additional free credits).

6. Intellectual property

ClauseFlow, the website, the software, the AI prompts, and all associated branding and documentation are owned by JDBventures Ltd and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service for your own internal purposes within the credits you have purchased. You retain ownership of the documents you upload; you grant us a limited licence to host and process them solely to provide the service to you.

7. Payments — Paddle as Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, and refund mechanics are governed by Paddle's Buyer Terms.

9. No solicitor-client relationship

Using ClauseFlow does not create a solicitor-client relationship. We are a software service, not a law firm.

10. Suspension & termination

We may suspend or terminate your access at any time for material breach of these terms, non-payment, suspected fraud or security risk, repeated or serious policy violations, or where required by law. On termination, your right to use the service ends; unused credits associated with a terminated account for cause may be forfeited.

11. Warranties & limitation of liability

To the maximum extent permitted by law, ClauseFlow is provided "as is" and "as available" and we disclaim all express and implied warranties including merchantability, accuracy, completeness, and fitness for a particular purpose. We do not guarantee that any review is correct, complete, up-to-date, or free from error, and we do not guarantee uninterrupted or error-free performance of the service.

You acknowledge and agree that: (a) ClauseFlow output is informational only and is not legal advice; (b) ClauseFlow is not a law firm and does not provide regulated legal services; (c) you are solely responsible for verifying any output with a qualified solicitor before acting on it; and (d) JDBventures Ltd, its directors, employees and agents shall not be liable — and cannot be sued — for any direct, indirect, incidental, consequential, special or exemplary loss or damage of any kind (including but not limited to loss of profit, loss of a property or deposit, missed defects, undisclosed charges, title issues, planning issues, wasted costs, or any other financial or reputational loss) arising out of or in connection with your use of, or reliance on, any review, chat response, comparison, summary, or other output from the service, whether or not we were advised of the possibility of such loss.

Where liability cannot be excluded by law, our aggregate liability to you is capped at the fees you have paid us in the 12 months preceding the claim. Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot be excluded under English law.

13. Governing law

These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction over any dispute.
